Sales Partner Terms

1. General provisions

These Terms govern the sales partner program provided by TechGuide LLC. Registering for the program constitutes agreement to these Terms.

2. Program overview

Sales partners introduce Ready Mock to third parties and may receive rewards based on eligible results. Partners must use the referral URL issued by the Company, provide accurate information to prospects, and avoid conduct that harms the Company's trust or reputation.

3. Rewards

• Referral reward: JPY 3,000 including tax after the Company holds an initial meeting with a customer who applied through the partner's URL; paid within one month.
• Contract reward: 10% of the development contract amount including tax when a referred customer signs a development contract; paid after the first customer payment.

4. Reward conditions

A reward is payable only when all applicable conditions are met:

• The customer applies through the partner’s referral URL.
• The customer is genuine and intends to consider system development.
• The initial meeting lasts at least 30 minutes.
• The customer was not previously referred by another partner; the first valid referral takes priority.
• The partner complies with these Terms.
• No reward is payable for a no-show, cancellation, false lead, duplicate lead, or violation of these Terms.

5. Prohibited conduct

• Providing false information or repeatedly referring the same customer
• Illegal, spam, harassing, or reputation-damaging sales activity
• Causing loss to the Company or a third party
• Transferring or selling a referral URL
• Attempting to obtain a reward by fraudulent means

6. Termination

A partner may terminate participation at any time by written notice, including email. The Company may terminate a partner who violates these Terms, materially harms the Company's reputation, or is found to be associated with antisocial forces.

7. Personal information

We handle partner information under our Privacy Policy.

8. Disclaimers

• The Company is not liable for disputes caused by a partner’s referral activity.
• Rewards are paid only when the conditions in these Terms are met.
• The Company does not guarantee sales results.
• The Company has no duty to mediate disputes with third parties.

9. Changes to these Terms

We may amend these Terms as necessary. Revised Terms take effect when posted on our website. Continued participation constitutes acceptance of the revised Terms.

10. Governing law and jurisdiction

These Terms are governed by Japanese law. The Tokyo District Court has exclusive agreed jurisdiction over disputes relating to the program.
